Terms and Conditions
These are the terms for when you have a website or a simpler web app built by VocataWeb: how we start, what you pay and when, who owns what, and what happens if something goes wrong.
1. Company details
| Business | Vocata Studio (VocataWeb) |
| CVR no. | 44750929 |
| Address | Business Park Mors, Elsøvej 105, 7900 Nykøbing Mors, Denmark |
| jonas@vocata.dk |
2. When do the terms apply?
These terms apply when we design and build websites and simpler web apps. We mainly work for businesses, associations and other organisations.
Service agreements, prepaid hours (klippekort), apps and AI visibility are different products with their own terms. They are set out in the quote or agreement for that product.
If a quote differs from these terms, the quote applies.
3. Free draft
Before you commit to anything, we normally build a free draft of your website. The draft is a clickable preview that we show you at a meeting. It can be based on a phone call, an email or an initial meeting.
The draft is free and non-binding. If you say no, we own the draft, and you may not use or copy its design, text, structure or code. If you say yes and end up with a finished website, ownership follows section 7.
4. Entering into an agreement
The agreement is formed when you have accepted our quote in writing (for example by email). The quote describes the scope, the price and the payment.
5. Prices
The price is stated in the quote and is fixed for the agreed scope unless the quote says otherwise. The quote states whether the price includes or excludes VAT.
6. Payment
We normally send the invoice when the project is complete. For larger projects the payment can be split, with 50% payable at the start and 50% on completion. This is agreed in the quote.
Payment is due 8 days from the invoice date unless otherwise agreed.
For late payment we may charge interest under the Danish Interest Act and a reminder fee within the limits of that Act. Until the full amount is paid, we may withhold delivery of the finished website and take an already published website offline.
7. Ownership and rights
If you say yes to the draft and end up with a finished website, you own the website once it has been paid for. This covers the design, text and content we created for you.
Unless otherwise agreed, the source code is not handed over automatically. Our general tools, code libraries, components and templates remain ours. You get a right to use them as part of your website, and we may reuse them in other projects. Open source and third-party components are governed by their own licences.
We may show the website as a reference in our portfolio and on our own website, including as a case study with your business name and logo, screenshots and a description of the work. Figures and statements from you, such as traffic, sales or a testimonial, are only used by agreement with you. By default we place a small credit link to VocataWeb at the bottom of the site. If you don’t want it, let us know.
8. Your cooperation
You provide, in good time, the text, images, logos, access, information and feedback needed for the task. You are responsible for having the right to use the material you give us, such as images, logos, fonts and other people’s text.
If missing cooperation delays the project, the schedule moves accordingly. If we cannot make progress for a long time, we may invoice the work done so far.
9. Changes and extra work
The number of revision rounds and the scope of the project are agreed in the quote. Work beyond what was agreed is billed at the hourly rate agreed with you. We will tell you the price before we start, where possible.
10. Delivery
The schedule in a quote is our expected timing and not a binding deadline, unless we have expressly agreed that it is.
11. Domain and hosting
You always own your domain name. We help set it up, but it is registered in your name.
Hosting of the website is not part of the price of the project itself. It is agreed and priced separately.
12. Errors after delivery
We fix errors in what we delivered free of charge for 30 days after delivery. An error means the website does not work as agreed. Contact us in writing and describe the problem so we can look into it.
New wishes and changes are not errors and follow section 9.
13. Third-party services
Your website may use services from others, such as hosting, domains, email, calendar booking, payments and plugins. They have their own terms and prices. We are not responsible for outages or changes at a third party that we cannot reasonably control.
14. Liability
We are liable under general Danish law, but not for indirect loss such as loss of business, loss of profit or loss of data, unless the loss was caused by intent or gross negligence.
Our total liability for a task is limited to the amount you have paid for it. The limit does not apply in cases of intent or gross negligence.
15. Force majeure
We are not liable for delay or failure to perform caused by extraordinary circumstances beyond our control that we could not reasonably have foreseen or avoided, such as illness, natural disasters, government action or widespread network and power failures.
16. Cancelling during a project
If either of us cannot continue during a project, you pay for the work done up to that point. An advance payment is not refunded but is set off against what you owe for the work done. If the advance payment exceeds the work done, you get the difference back.
17. Private customers
If you buy as a private individual and not as a business or association, mandatory consumer protection rules always take precedence over these terms. This includes, for example, the right of withdrawal for distance sales and a consumer’s right to make a complaint about defects. We will tell you about your rights before the agreement is made.
18. Personal data
How we handle your personal data is described in our privacy policy.
19. Changes to the terms
We may update the terms for future agreements. An agreement already made is governed by the terms that applied when it was made.
20. Complaints and disputes
If you are unhappy, write to us first at jonas@vocata.dk and we will find a solution. If you are a consumer, you can also complain to Nævnenes Hus (the Danish Consumer Complaints Board).
21. Governing law and jurisdiction
Agreements with us are governed by Danish law, and disputes are decided by the Danish courts. For consumers this does not limit the rights that follow from mandatory law.
